These Terms and Conditions (“Terms”) govern your access to and use of the Elements of AI and Building AI online courses (herein together the “Service”) and form the agreement between (i) you, (ii) Minna Learning Oy Oy, a limited liability company based in Käenkuja 3 A, 00500 Helsinki, Finland, Business ID3232467-5 (“MinnaLearn”) and (iii) University of Helsinki, Fabianinkatu 33 (P.O. Box 33), FI-00014 University of Helsinki, Finland (“University of Helsinki”) regarding your use of the Service. MinnaLearn and University of Helsinki herein together also “We”, “Us” and “Our”.

Please read these Terms carefully. By accepting these Terms upon signing up for the Service or accessing or using the Service you agree to comply with these Terms. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. If you disagree with any part of these Terms you may not use the Service.

Your access to and use of the Service is also conditioned on your acceptance of and compliance with the Privacy Policy of the Service. The Privacy Policy describes in more detail the collection and use of your personal data when you access to and use the Service. Please read Our Privacy Policy carefully before using the Service.

1. Paid Services

Access to the Service and viewing the content of the courses made available in the Service is free. In addition, we also offer some paid services such as certification for certain courses available in the Service for a fee (together “Paid Service(s)”). As regards such Paid Services, the details related to the fee and payment terms are explained in context of the respective Paid Service. If you purchase a Paid Service, You are responsible for paying the applicable fees charged by or for Us and the applicable taxes in a timely manner in accordance with the payment mechanism applicable to the respective Paid Service. As regards the Paid Services, You are entitled to cancel your purchase and gain a refund within 14 days from the payment or until you have completed the respective course and earned your certificate, whichever is earlier. You may inquire about refunds by contacting us at hello@minnalearn.com.

2. Content

All rights, title and interest in and to the Service, the visual appearance of the Service and the content made available in the Service (“Content”) belong to MinnaLearn, University of Helsinki or their partners and licensors, regardless of whether they are protected by trademark rights, copyright and/or other intellectual property rights.

Subject to your compliance with these Terms and policies that may be communicated in the Service, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to access the Service in order to study the courses made available in the Service while your user account in the Service remains active. All content in the Service is provided only for personal, non-commercial use. Using the Service does not give you any intellectual property rights. You agree not to copy, republish, frame, download, transmit, modify, rent, lease, loan, sell, assign, distribute, license, sublicense, reverse engineer, or create derivative works based on the Service or Content.

3. User Content

When you create your account in the Service and use the Service, you agree to provide accurate and complete information, update such information to keep it accurate and complete.

The Service enables you to create content such as answers to quizzes and exams, code snippets and other similar material (together “User Content”) and share such User Content with Us, course instructors and other users.

You agree to ensure that User Content created by you (i) is your own original creation and you have the right to share such User Content in the Service; (ii) is free from viruses and other malware; (iii) does not violate the privacy or rights of any individual; (iv) does not contain material that is unlawful or in violation of local or European laws and regulations and (v) is not likely to harass, upset, alarm or cause distress to any other person.

You grant Us a fully-transferable, sublicensable, royalty-free, non-exclusive perpetual license to copy, modify, alter, build on top of, publicly display and perform and otherwise use the User Content worldwide in order to provide the Service and its features.

We reserve the right to modify, remove, disable and block User Content from the Service for any reason and, especially, if we believe it violates these Terms.

We welcome your ideas, feedback, comments and suggestions (“Feedback”) about the Service. By submitting the Feedback you grant Us the right to use your Feedback without any restrictions or compensation to you.

4. Third Party Services

Third party services and content (including data, information, products or services) may be displayed, included or made available in the Service and the Service may contain links to or content from third-party web sites or services that are not owned or controlled by Us (together “Third Party Services”). We assume no responsibility for Third Party Services. You further acknowledge and agree that We shall not be held responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such Third Party Services available on or through the Service.

5. Termination

You may at any time terminate your use of the Service and request us to delete your user account. Further, We may at any time terminate or suspend your user account and access to the Service, without prior notice or liability, for with or without any reason whatsoever, including without limitation if you breach these Terms. Upon termination by you or Us, your right to use the Service will cease immediately.

6. "AS IS" and "AS AVAILABLE"

The Service is provided to You "AS IS" and "AS AVAILABLE" without warranty of any kind. To the maximum extent permitted under applicable law, MinnaLearn and University of Helsinki, on their own behalf and on behalf of their affiliates and their respective licensors and service providers, expressly disclaim all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice.

7. Limitation of Liability

To the maximum extent permitted by the applicable law, the entire liability of MinnaLearn and University of Helsinki under any provision of these Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you to Us through the Service.

To the maximum extent permitted by applicable law, in no event shall MinnaLearn or University of Helsinki or their service providers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, business interruption, personal injury or otherwise in connection with any provision of these Terms).

8. Miscellaneous

These Terms shall be governed by and construed in accordance with the laws of Finland, excluding its conflicts of law rules. Disputes arising from these Terms shall be resolved by the district court of Helsinki.

If You have any concern or dispute about the Service, please do not hesitate to contact us first.

We reserve the right to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice in the Service prior to any new terms taking effect. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms. If You do not agree to the new Terms in whole or in part, please stop using the Service.
